由光环新网运营的AWS中国(北京)区域客户协议

  

本光环新网关于AWS(北京区域)的客户协议(“本协议”)包含您访问并使用“服务产品”(定义见下文)时所适用的条款及条件,并构成北京光环新网科技股份有限公司(“光环新网”或“我们”)与您或您所代表之实体(“您”)之间的协议。一旦您点击与“本协议”条款同时显示的“我接受”按钮或复选框,或一旦您使用任何“服务产品”(以较早发生者为准),“本协议”即告生效(“生效日”)。您向我们声明,您具有订立合同的法律能力(例如,您不是未成年人)。若您作为某一实体(如您的雇主)的代表签订“本协议”,您向我们声明,您具有约束该实体之合法权限。“本协议”中引号内术语的定义请参见第14条。
1.          服务产品之使用。
1.1 一般规定。我们向您提供的“服务产品”系基于亚马逊通技术服务(北京)有限公司及其关联公司(统称“亚马逊”)的技术。虽然底层技术由“亚马逊”开发并维护,但“服务产品”由我们运营,并向您提供。“亚马逊”并非“本协议”的缔约方,您无权依据“本协议”向“亚马逊”主张任何合同或其他性质的权利或救济。您可依照“本协议”访问并使用“服务产品”。某些“服务产品”可能需要遵守“服务水平协议”和“服务条款”。您应遵守“本协议”的条款,以及与您使用“服务产品”相关的所有适用法律、法规及规章。“本协议”项下向您提供的“服务产品”将由光环新网从中国境内的“AWS中国(北京)区域”向您提供。“本协议”未授权您接收或使用任何其他AWS区域提供的任何服务产品。
1.2 您的账户及政府批准。欲访问“服务”,您必须拥有一个与有效电子邮件地址以及一个或多个有效身份证明相关联的AWS账户。您必须按照我们的要求,提供充分的证明材料(例如:公司营业执照或政府颁发的身份证件),以便我们验证您的身份。如果您的身份信息有任何变化,您应立即通知我们,并提供相应证明材料,以更新与您的AWS账户关联的身份信息。如您未遵守上述身份验证要求,您对“服务产品”的访问可能因此受限,并可能导致您的AWS账户中止和(或)终止,或遭受我们自主决定针对您的AWS账户或您对“服务产品”的使用采取的其他措施或其他后果。除非“服务条款”明确许可,否则您的每个电子邮件地址仅可创建一个账户。您可以通过您的账户,访问和使用基于“亚马逊”技术,但由我们之外的其他服务提供商从中国境内的其他AWS区域(“其他AWS中国区域”)运营和向您提供的相关服务产品。您对“其他AWS中国区域”的服务产品的使用受您与该其他服务提供商之间的协议约束,而不受“本协议”约束。该其他服务提供商不属于“本协议”的缔约方,且您无权依据“本协议”针对该其他服务提供商主张任何合同或其他性质的权利或救济。除非系因我们违反“本协议”而导致,否则:(a)您应对您账户下的所有活动负责,无论该等活动是否由您授权,也无论该等活动由您、您的员工或第三方(包括您的承包商、代理商或“最终用户”)实施;且(b)您的账户在无授权的情况下被擅自访问的,我们和我们的“关联方”概不负责。若您认为可能有未经授权的第三方正在擅自使用您的账户,或您的账户信息丢失或被窃,您应立即联系我们。您可依照第7条规定随时终止您的账户及“本协议”。如果您的任一账户被用于开展相关业务,且该等业务需要获得相关政府或监管机关颁发的任何相关执照、许可或批准(每一该等执照、许可或批准,下文均称为“政府批准”),则您在使用任何“服务产品”,通过您的账户开展该业务之前,必须事先取得所有该等“政府批准”,并且在使用“服务产品”期间,必须始终维持该等“政府批准”,包括但不限于:
(a)   如您将“服务”用于托管提供非经营性互联网信息服务的网站,您必须在相关政府或监管机关办理非经营性网站的备案手续(“ICP备案”);及
(b)  如您将“服务”用于托管提供经营性互联网信息服务的网站,您必须从相关政府或监管机关取得经营性网站的增值电信业务经营许可证(“ICP许可证”)。
除非您明确要求并经我们书面同意,否则我们无义务协助您取得或维持“ICP备案”、“ICP许可证”或任何其他“政府批准”。我们可在向您提供“服务”前或在向您提供“服务”的过程中,随时要求您出示您的所有“政府批准”。如果您无法出示任何该等“政府批准”,我们有权自主决定拒绝继续向您提供“服务”(包括但不限于,如您未提供有效的“ICP备案”或“ICP许可证”,我们有权阻止您使用“服务”在互联网上发布任何内容),或依照第6条或第7条之规定中止或终止您对“服务产品”的使用。
1.3 第三方内容。您可以选择使用“第三方内容”。“第三方内容”受“本协议”和适用于该“第三方内容”的单独条款和条件(如有)约束。根据该等单独的条款和条件,您可能需要额外支付其他费用和收费。
2.          修改。
2.1 对服务产品的修改。我们有权不时修改或中止任何或所有“服务产品”,或修改或移除任何或所有“服务产品”的功能。“服务产品”发生任何重大修改或中止的,我们将向您发出相应通知。
2.2 对API的修改。我们有权不时修改或中止“服务”的任何“API”。对于“服务”的“API”的任何中止或实质改变,我们将尽商业上合理的努力,在该改变或中止发生后12个月内,继续支持该“API”的先前版本(除非这样做:(a)会造成安全或知识产权问题;(b)会造成繁重的经济或技术负担;或(c)会导致我们违反法律或政府或监管机构的要求)。
2.3 对服务水平协议的修改。我们可按照第12条的规定不时修改、中止或补充“服务水平协议”。
3.          安全及数据隐私。
3.1 AWS安全。在不限制第10条之规定或您在第4.2条项下之义务的前提下,我们将采取合理且适当的措施,帮助您保护“您的内容”免受意外或非法的损失、访问或披露。
3.2 数据隐私。“您的内容”将仅存储在“AWS中国网络”上。您同意将“您的内容”存储于和传输至“AWS中国网络”。除非为维持或提供“服务产品”所需,或为遵守法律、“中国合规程序”或政府或监管机构要求所需,我们不会:(a)访问或使用“您的内容”;(b)将“您的内容”披露给任何政府或第三方;或(c)将“您的内容”移至“AWS中国网络”之外。除非违反法律、“中国合规程序”或政府或监管机构的要求,否则,在遵守上述要求时,我们将向您发出相应通知。我们将按照“隐私政策”使用,且您同意我们按照“隐私政策”使用您的“账户信息”。“隐私政策”不适用于“您的内容”。您进一步同意我们依照我们的“隐私政策”收集、使用并披露与您使用“服务产品”相关的信息,例如资源标识符、元数据标签、安全和访问角色、规则、使用政策、许可、使用统计及分析。“其他AWS中国区域”的服务提供商有权访问您的“账户信息”,且您同意该等访问,并且该等服务提供商将依据适用于您和他们之间的隐私政策使用您的“账户信息”。
4.          您的责任。
4.1 您的内容。您将确保“您的内容”,以及您和“最终用户”对“您的内容”或“服务产品”的使用不违反任何“政策”或任何适用法律。您单独负责“您的内容”的开发、内容、运营、维护及使用。
4.2 您的安全及备份。您应负责妥善配置并使用“服务产品”,并以能够提供适当安全和保护的方式,采取其他适当措施维持您的账户和“您的内容”的安全、保护及备份;该等措施可能包括使用加密技术保护“您的内容”免于无授权访问,及对“您的内容”进行日常归档。
4.3 登录证书及账户密钥。“服务”所生成的AWS登录证书及私人密钥仅供您内部使用,您不得将其出售、转让或分许可给任何其他实体或个人,但您可将您的私人密钥披露给代表您开展工作的代理商及分包商。
4.4 最终用户。若您允许、协助任何个人或实体采取与“本协议”、“您的内容”或“服务产品”之使用有关的任何行动或为此提供便利,则该等行动将视为由您亲自做出。您将就“最终用户”对“您的内容”和“服务产品”的使用承担责任。您应确保所有“最终用户”均遵守您在“本协议”项下的义务,且您与每一“最终用户”之间的协议条款均与“本协议”一致。若您获知由于任一“最终用户”的原因,导致您在“本协议”项下的义务遭到违反,您应立即停止该“最终用户”对“您的内容”及“服务产品”的访问。除非我们与您或“最终用户”之间另行签订协议,规定我们有义务提供支持或服务,否则我们不向“最终用户”提供任何支持或服务。
4.5 被禁止内容。如您或我们认定任何“您的内容”包含任何“被禁止内容”,您同意,您应立即终止对该等内容的访问,保存相关记录,并向相关政府或监管机关举报该等违法内容。您确认并同意,如我们认定任何“您的内容”包含任何“被禁止内容”,我们有权立即删除该“您的内容”,并中止您或任何“最终用户”访问或使用全部或任何部分该“您的内容”和“服务产品”的权利。
4.6 互联网信息服务提供商。如您或“最终用户”正在使用“服务产品”提供互联网信息服务,您同意针对您或“最终用户”提供的任何信息,记录其内容、发布时间、互联网协议地址或域名,并在任何相关政府或监管机关依法调查时,向其提供该等记录。
5.         费用及支付。
5.1 服务费。我们按月计算费用和收费并开具账单。如果我们怀疑您的账户有欺诈性或存在欠款的风险,我们可能更频繁地就已产生的费用向您开具账单。您应在每一账单发出日后的30天内采用我们支持的付款方式,就使用“AWS中国网站”上所述的“服务产品”向我们支付相关的费用和收费。您向我们支付“本协议”项下的所有应付款时,不得抵销、或提起反诉,亦不得扣减或代扣。除非我们在通知中另行说明,任何新“服务”或某项“服务”的新功能的费用和收费,将于我们在“AWS中国网站”上发布更新后的费用和收费发布之时生效。我们有权在提前30天发出通知后,提高或增加一项现有服务的费用或收费。我们有权按照每月1.5%的利率(或者法律所允许的最高利率,以较低者为准),就所有逾期付款向您收取罚息。
5.2 税款。您的所有应付费用和收费均不含相关税款及关税,包括增值税(“增值税”)及当地的附加费。如果法律或行政机关要求我们向您收取任何适用的增值税,您应一并向我们支付该等增值税,除非您符合该等增值税的免税规定。如果您依法有权享受任何增值税豁免,您应负责依据每个税务辖区的法律,向我们提供充分的免税凭证。我们会将该等免税凭证,适用于在收到免税凭证之后您账户下发生的收费。如果法律要求进行任何扣减或代扣,您应通知我们,并支付必要的追加金额,以确保我们收到的经过任何扣减及代扣后的净额,等于无需扣减或代扣的情况下我们本应收到的金额。此外,您应向我们提供证明代扣或扣减金额已缴纳给相关税务机关的文件。
5.3 税务发票。若您要求,我们将根据您账单中列明且我们全额收到的费用和收费,向您开具税务发票(“税务发票”)。“税务发票”的类型,即普通增值税发票或专用增值税发票,将根据您的税务状态及您为验证之目的所需提交的支持文件/信息而定。
6.          暂时中止。
6.1 一般规定。若我们确认出现以下情形,我们可在向您发出通知后,立即中止您或任何“最终用户”访问或使用任何部分或全部“服务产品”的权利:
(a)   您或“最终用户”对“服务产品”的使用或注册:(i)违反法律或不符合“中国合规程序”,包括但不限于未能取得或保有“政府批准”;(ii)给“服务产品”或任何第三方带来安全风险;(iii)可能对我们的系统、“服务产品”或任何其他AWS客户的系统或“内容”造成不利影响;(iv)可致使我们、我们的关联方或任何第三方承担责任;或(v)可能存在欺诈;
(b)  您或任何“最终用户”违反“本协议”;
(c)   您违反第5条的付款义务;
(d)  您通过您的账户对“其他AWS中国区域”的服务产品的使用已被中止;或
(e)   您已停止日常经营,为债权人利益进行转让,或对您的资产进行类似处置或进入任何破产、重组、清算、解散或类似程序。
6.2 中止的效力。若我们中止您访问或使用任何部分或全部“服务产品”的权利:
(a)您仍有义务支付中止期间产生的所有费用及收费;及
(b)  在任何中止期间,您均无权获得“服务水平协议”项下的任何服务抵用券。
您同意我们有权将“本协议”项下发生的任何中止事项告知负责运营和提供“其他AWS中国区域”服务产品的其他服务提供商。
7.         期限;终止。
7.1 期限。“本协议”期限自“生效日”起算,除非按照第7条终止,否则“本协议”将持续有效。一方向另一方发出的任何终止“本协议”的通知必须指明“终止日期”,且该“终止日期”必须符合第7.2条的通知期限要求。
7.2 终止。
(a)任意终止。您可出于任何原因,通过如下方式终止“本协议”:(i)向我们发出通知,并(ii)针对我们提供了账户关闭机制的所有“服务”,关闭您的账户。您同意并了解,若您关闭您的账户,通过您的账户使用“其他AWS中国区域”服务产品时适用的其他相关协议也将随之终止。我们可出于任何原因,至少提前30天向您发出通知,终止“本协议”。
(b)  因故终止。
(i)   由任何一方终止。若一方出现任何严重违反“本协议”的行为,且该方未在收到另一方的通知后30日内予以纠正,另一方可因故终止“本协议”。您应在“终止日期”前关闭您的账户。
(ii)  由我们终止。我们亦可在下列情况下,向您发出通知,立即终止“本协议”:(A)若我们有权根据第6条采取中止措施,因故终止,(B)若我们与提供“服务产品”时使用的软件、硬件、设施或其他技术的第三方合作伙伴之间的关系期满、终止或要求我们改变操作或提供作为“服务”一部分的软件、硬件、设施或其他技术的方式,(C)若为遵守法律或政府或监管机构之要求,有必要终止“本协议”;或(D)若通过您的账户使用“其他AWS中国区域”服务产品时适用的任何其他相关协议被终止。
7.3 终止的效力。
(a)   一般规定。自“终止日期”起:
(i)   除第7.3(b)条另有规定外,您在“本协议”项下的所有权利应立即终止;
(ii)  您仍有义务支付截至“终止日期”您已产生的所有费用及收费,以及第7.3(b)规定的终止后期间内您产生的任何费用和收费;
(iii) 您应立即归还或根据我们的指示销毁您占有的全部“AWS内容”;及
(iv)  第4.1条、第4.5条、第4.6条、第5条、第7.3条、第8条(依照第8.3条授予您的授权除外)、第9条、第10条、第11条、第13条及第14条根据其自身条款继续适用。
您同意我们有权将“本协议”的终止告知负责运营和提供“其他AWS中国区域”服务产品的其他服务提供商。
(b)  终止后事宜。除非我们根据第7.2(b)条终止您对“服务产品”的使用,否则,在“终止日期”后30日内:
(i)   我们不会因为该等终止开展任何操作,从AWS系统中删除任何“您的内容”;及
(ii)  只有在您已支付“本协议”下所有到期金额的条件下,我们才会允许您从“服务”中恢复“您的内容”。
对于“终止日期”后您对“服务”的任何使用,“本协议”的条款将具有约束力,且您应按照第5条规定的费率支付相关费用。在下述情形下,我们没有义务提供本条所述的终止后协助:(A)法律或政府或监管机构的要求禁止我们提供该等协助,或(B)提供该等协助可能致使我们承担责任。
8.         专有权利。
8.1 您的内容。除非本第8条另有约定,否则我们不会根据“本协议”从您(或您的许可方)获得对“您的内容”的任何权利。您同意我们使用“您的内容”,向您或任何“最终用户”提供“服务产品”。
8.2 充分权利。您向我们声明并保证:(a)您或您的许可方拥有对“您的内容”及“建议”的全部权利、所有权及权益;(b)您就“您的内容”及“建议”拥有一切必要权利,可据此授予“本协议”中规定的权利;及(c)“您的内容”以及“最终用户”对“您的内容”或“服务产品”的使用,均不违反“可接受使用政策”。
8.3 服务产品授权。我们、“亚马逊”及二者的关联方或我们的许可方,拥有对“服务产品”以及所有相关技术和知识产权的一切权利、所有权和权益。根据“本协议”的条款,您有权根据一项有限、可撤销、非排他性、不得再许可且不可转让的许可,从事如下行为:(a)完全根据“本协议”访问并使用“服务”;及(b)仅针对您获准使用的“服务”,复制并使用相关“AWS内容”。除本第8.3条另有规定外,您不得根据“本协议”从我们、“亚马逊”、二者的任何关联方或我们的许可方处获得对“服务产品”的任何其他权利,包括任何相关知识产权。部分“AWS内容”和“第三方内容”可能会另行根据其他许可(如“Apache许可第二版”或其他开源代码许可)向您提供。如“本协议”与任何其他许可之间存在任何不一致之处,就受限于该等其他许可的“AWS内容”或“第三方内容”而言,应以该其他许可为准。
8.4 使用限制。除非“本协议”明确允许,您或任何“最终用户”不得以任何方式或为任何目的使用“服务产品”。您或任何“最终用户”均不得,亦不得企图:(a)变更、传播、修改、篡改、修复或以其他方式创造“服务产品”中所包含的任何“内容”的衍生作品(除非“服务产品”中所包含的“内容”系根据其他许可向您提供,且该等其他许可明确允许创造衍生作品);(b)对“服务产品”进行反向工程、反汇编或反编译或应用任何其他流程或程序,以获得“服务产品”中所包含的任何软件的源代码(除非相关法律不允许本项限制);(c)以企图避免产生费用或避免超出使用限额或配额的方式访问或使用“服务产品”;或(d)转售或分许可“服务产品”。您仅可根据“商标使用指南”使用“AWS标识”。您不得歪曲或美化我们和您之间的关系(包括明示或暗示我们支持、赞助、认可您或您在商业上的努力或向您出资)。您不得暗示我们与您之间具有任何关系或关联关系,但“本协议”明确允许的除外。
8.5 建议。若您向我们或我们的关联方提出任何“建议”,我们和我们的关联方将有权使用并授权任何第三方使用该等“建议”而不受任何限制。您在此不可撤销地向我们让与对该等“建议”的所有权利、所有权和权益,并同意向我们提供任何可能必要的协助,以便证明、完善和保有我们对该等“建议”的权利。
9.          赔偿。
9.1 一般规定。对因与下述各项有关的任何第三方索赔引起的或与之相关的任何“损失”,您应为我们、“亚马逊”、二者的关联方、许可方及其每一员工、主管人员、董事和代表抗辩,为之提供赔偿,并使之免受损害:(a)您或任何“最终用户”对“服务产品”的使用(包括您的AWS账户项下的任何活动以及您的员工和人员的使用);(b)您、“最终用户”或“您的内容”违反“本协议”或适用法律;及(c)您与任何“最终用户”之间的争议。您应赔偿我们和“亚马逊”合理的律师费,并按我们和“亚马逊”、二者的关联方的员工或承包商届时有效的小时费率,赔偿我们和“亚马逊”,二者的任何关联方为回应与上述(a)至(c)所述的第三方索赔相关的任何第三方传票或其他强制性法律命令或文书所花费的时间和准备的材料之相关费用。
9.2 知识产权。
(a)   受限于本第9条的限制,我们将就主张“服务”侵犯或滥用第三方的知识产权的任何第三方索赔,为您和您的员工、主管人员和董事进行抗辩,并支付任何不利最终判决或和解所要求的赔偿金额。
(b)  受限于本第9条的限制,您将就主张任何“您的内容”侵犯或滥用第三方的知识产权的任何第三方索赔为我们、“亚马逊”、二者的关联方、员工、主管人员和董事进行抗辩,并支付任何不利最终判决或和解所要求的赔偿金额。
(c)   “服务”或“您的内容”(视实际情况而定)与任何其他产品、服务、软件、数据、内容或方法相结合而产生侵权的,任一方均无需根据本第9.2条承担义务或责任。此外,如我们已通知您停止使用相关“服务”,但您或任何“最终用户”继续使用该“服务”的,我们将不再承担因而引起的任何义务或责任。对于指控“服务”或“您的内容”侵犯或滥用知识产权的第三方索赔,本第9.2条规定的救济,属于唯一和排他性的救济。
(d)  关于第9.2(a)所涵盖的任何索赔,我们将自主选择:(i)取得“服务”中被主张侵权的相应部分的使用权;(ii)将“服务”中被主张侵权的相应部分替换为不侵权的替代物;(iii)将“服务”中被主张侵权的相应部分修改为不侵权状态;或(iv)终止“服务”中被主张侵权的相应部分或“本协议”。
9.3       流程。本第9条所规定的义务将仅在寻求抗辩或赔偿的一方满足以下条件时适用:(a)及时将第三方索赔的事宜书面通知另一方;(b)允许另一方控制关于第三方索赔的抗辩和和解;及(c)合理配合另一方(由另一方支付费用)进行关于第三方索赔的抗辩和和解。如关于任何第三方索赔的任何和解中包含除支付金钱之外的任何承诺事项,则未经另一方书面同意,任一方均不得同意该等和解。
10.          免责声明。“服务产品”按“原样”提供。除非法律禁止,或任何法定权利无法被排除、限制或免除适用,我们和“亚马逊”及二者的关联方和许可方均:(A)未就“服务产品”或“第三方内容”作出任何形式的明示、暗示、法定或其他声明或保证;及(B)否认做出任何保证,包括:(I)关于适销性、质量满意、适于某一特定用途、不侵权或安宁权的保证,(II)因任何交易习惯或行业惯例产生的保证,(III)关于“服务产品”或“第三方内容”不中断、无错误或不含有任何有害元件的保证,及(IV)关于任何“内容”的安全性或不会以其他方式丢失或损害的任何暗示或明示保证。
11.          责任限制。我们、“亚马逊”及二者的任何关联方或许可方均不就任何直接、间接、附带、特殊、后果性或惩戒性损害(包括利润、收入、客户、商业机会、商誉、使用或数据损失损害)向您承担责任,即使一方已被告知该等损害发生的可能性,且即使该等损害已被预见到。此外,对于因以下事项而引起的任何赔偿、补偿或损害,我们、“亚马逊”或二者的任何关联方或许可方均不承担责任:(A)您无法使用“服务”,其原因包括:(I)“本协议”、您对“服务产品”或“其他AWS中国区域”的服务产品的使用或访问被终止或中止,(II)我们不再提供任何或全部“服务产品”,或(III)在不限制服务水平协议项下任何义务的前提下,全部或部分“服务”因任何原因而遭意外或计划外停止;(B)采购替代货物或服务的费用;(C)您就“本协议”或您对“服务产品”的使用或访问而进行的任何投资、支出或承诺;或(D)您的任何“内容”或其他数据遭受任何未经授权访问、修改、删除、毁损、损害或丢失或未能存储。在任何情形下,除第9.2条规定的付款义务以外,我们、“亚马逊”、二者的任何关联方、许可方在“本协议”项下的责任总额应不超过您根据“本协议”就导致索赔的“服务”在该等责任产生前12个月期间实际支付给我们的款项。您确认并同意,因为您和“最终用户”可能使用“AWS服务”的方式之多样性,即使我们和您可能已就我们、“亚马逊”、二者的任何关联方、许可方的任何违约行为的潜在和理论后果进行过沟通交流,我们、“亚马逊”、二者的任何关联方预见可能由任何该等违约行为所造成的损害的能力仍属有限。因此,您同意承担证明所有实际、可预见的损害的举证责任。
12.          本协议之修改。
我们可通过在“AWS中国网站”上发布修改后版本,或根据第13.9条规定通过其他方式向您告知的方式,随时修改“本协议”(包括任何“政策”);但是,对于任何“服务水平协议”的不利修改,我们将按照第13.9条的规定,至少提前90日向您发出通知。除了对“服务水平协议”的不利修改要求提前90日通知外,修改后的条款将在发布后生效;若我们通过电子邮件告知您该等修改,则以电子邮件中所述的生效时间为准。您在“本协议”任何修改的生效日后继续使用“服务产品”,即表明您同意受已修改条款之约束。您有责任定期检查“AWS中国网站”,查阅“本协议”之修改。“本协议”最近一次的修改日期见“本协议”文首。
13.          附则。
13.1     转让。未经我们事先书面同意,您不得转让或以其它方式让与“本协议”或您在“本协议”下的任何权利和义务。您违反本第13.1条规定进行的任何转让或让与无效。您同意,我们可以按照第13.9条规定向您发送通知,将“本协议”,或我们在“本协议”项下的任何权利或义务,让与或转让给任何承继人、被让与人或受让人。您认可本让与或转让将在我们发布或发送通知时生效,或根据通知另行规定的时间生效。受限于前述约定,“本协议”将对双方及其各自的获准承继人和被让与人具有约束力并符合其利益。
13.2     完整协议。“本协议”通过援引的方式纳入“政策”,且构成您与我们之间就“本协议”标的达成的完整协议。“本协议”取代您与我们此前或同时就“本协议”标的达成的所有书面或口头声明、谅解、协议或通讯(但不取代此前关于购买“服务”(例如Amazon EC2预留实例)的承诺)。我们不受与“本协议”条款不同或“本协议”中未载明的任何条款、条件或其他规定(无论其是否将从实质上变更“本协议”)的约束,且明确反对该等条款,包括但不限于以下任何条款、条件或其他规定:(a)您在任何订单、收据、接受凭证、确认单、信函或其他文件中提出的条款、条件或其他规定;(b)与任何在线注册、招标应答、需求方案说明书、信息请求、或其他问卷有关的条款、条件或其他规定;或(c)与任何您提交或要求我们完成账单流程相关的条款、条件或其他规定。若本协议的条款与任何“政策”的条款不一致,应以本协议的条款为准,但“服务条款”的效力优先于本协议。
13.3      不可抗力。如因超出我们及我们的关联方合理控制的任何缘由,包括天灾、劳资纠纷或其他行业骚乱、电力故障、电信或其他公用设施故障、地震、暴风雨或其他天灾、封锁、禁运、暴动、政府或监管机构的作为或命令(包括但不限于法律或法规的颁布,或影响“服务”交付的其他政府或监管机构行为)、恐怖活动或战争,致使我们和我们的关联方延迟或未能履行“本协议”项下的任何义务,我们及我们的关联方对此不负任何责任。
13.4     管辖法律;争议解决。“本协议”受中华人民共和国法律(不包括任何冲突法规则或原则)管辖。任何与“服务产品”或“本协议”有关的一切争议,应提交中国国际经济贸易仲裁委员会在北京进行仲裁,仲裁应按照申请仲裁时该委员会有效的仲裁规则进行。仲裁裁决为终局裁决,对双方都有约束力。仲裁员应为三人。
13.5     进口与出口合规。就“本协议”而言,每一方均应遵守所有适用的进口、再进口、制裁、反抵制、出口及再出口管制法律法规。为避免疑义,兹明确规定,对于您选择的“服务产品”使用方式(包括您转让和处理“您的内容”以及向“最终用户”提供“您的内容”)相关的合规事宜,您应独自负全责。
13.6     独立缔约方;非独占权。我们与您属于独立缔约方关系,且“本协议”不得解释为在双方之间建立合伙、合资、代理或雇佣关系。任何一方或其各自的任何关联方,均不出于任何目的担当另一方的代理人,亦无权约束另一方。各方均有权(a)开发或促使他人为其开发与另一方开发或预期开发的产品、服务、概念、系统或技术相似或与之相竞争的产品、服务、概念、系统或技术;及(b)向可能提供与另一方的产品或服务相竞争的产品或服务的第三方开发者或系统集成商提供协助。
13.7     语言。根据“本协议”做出或发出的全部通讯和通知均须采用中文。如果我们提供“本协议”中文版本的翻译件,则在“本协议”的中文版本与翻译件冲突时,应以“本协议”的中文版本为准。
13.8     保密条款与禁止公开。您对“AWS保密信息”的使用,仅限于与您依照“本协议”规定使用“服务产品”相关的目的。您不得在“期限”内或“期限”结束后5年内的任何时间披露“AWS保密信息”。您应采取一切合理措施,防止“AWS保密信息”遭受披露、传播或未经授权使用,至少包括您为保护自身类似性质保密信息而采取的措施。您不得就“本协议”或您对“服务产品”的使用发布任何相关新闻稿,或对此进行任何其他公开传播。
13.9     通知。
(a)   向您发出的通知。我们可依照“本协议”规定,通过以下方式向您发出任何通知:(i)在“AWS中国网站”上发布通知;或(ii)向届时与您的账户相关联的电子邮箱地址发送邮件。我们在“AWS中国网站”上发布的通知,将于发布之时生效;我们通过电子邮件发出的通知,将在我们发出电子邮件之时生效。您有责任保持您的电子邮箱地址有效。我们向届时与您的账户相关联的电子邮箱地址发出电子邮件后,您即视为已收悉该等电子邮件,无论您实际上是否收到该邮件。
(b)  向我们发出的通知。您在“本协议”项下向我们发出通知时,须按以下方式联络我们:(i) 发送传真至86-10-6418-1819;或(ii) 由专人递送、以次日快递或发送挂号邮件或保证邮件至中华人民共和国北京市东城区东中街9号东环广场A座2层(邮编100027)北京光环新网科技股份有限公司。我们可在“AWS中国网站”上发布通知,更新我们接收通知的传真号码或地址。如通知由专人递送,将在递送后视为立即送达。如通知通过次日快递发送,则在通知发出后下一个营业日视为送达。如通知通过挂号邮件或保证邮件邮寄,则在付寄后三个营业日视为送达。
13.10   无第三方受益人。除“本协议”第9条或“本协议”中另有明确约定外,“本协议”不对“本协议”当事方以外的任何个人或实体设定任何第三方受益权。
13.11   不弃权。我们未能执行“本协议”的任何条款,不构成现在或将来对该条款的放弃,亦不限制我们以后执行该等条款的权利。我们的任何弃权,均须以书面形式做出,否则无效。
13.12   可分割性。如“本协议”任何条款被认定为无效或不可强制执行,“本协议”其他条款将继续具有充分效力。对于任何无效或不可强制执行的条款,应在原条款的效力及意图范围内予以解释。如无法进行该等解释,则无效或不可强制执行的条款将与“本协议”分离,但“本协议”其他条款将继续具有充分效力。
14.          定义。
“可接受使用政策”指目前可于http://www.amazonaws.cn/aup/beijing(以及由我们指定的任何后续或相关网站)查看的政策,以我们不时更新的版本为准。
“账户信息”指您向我们提供的,与您创建或管理AWS账户有关的信息。例如:“账户信息”包括与您的AWS账户有关的姓名、用户名、电话号码、邮件地址、账单信息等。
“API”指应用程序界面。
“AWS中国网络”指实物位于“中国”境内,且处于我们控制之下,并用于提供“服务”的数据中心设施、服务器、网络设备以及主机软件系统(如虚拟防火墙)。
“AWS中国网站”指http://www.amazonaws.cn以及由我们指定的任何后续或相关网站。
“AWS保密信息”指由我们、“亚马逊”、二者的任何关联方、商业伙伴或二者的员工、承包商或代理人披露且被指定为具保密性,或鉴于信息的性质或有关信息披露的情况应被合理视为具保密性的所有非公开信息。“AWS保密信息”包括:(a)与我们或我们的关联方或商业伙伴的技术、客户、业务计划、推广和营销活动、财务及其他商业事务相关的非公开信息;(b)我们有义务对其保密的第三方信息;及(c)您与我们或我们的关联方开展的任何商谈或谈判的性质、内容及存在。“AWS保密信息”不包括:(i)现在或将来非经违反“本协议”而由公众获得的信息;(ii)有书面文件证明,在您从我们处接收信息时已被您所知的信息;(iii)由未通过不当或侵权行为而获得或披露信息的第三方提供的信息;或(iv)有书面文件证明,您在不参考“AWS保密信息”的情况下已独立开发的信息。
“AWS内容”指与“服务”相关而提供的“内容”,或为允许他人访问和使用“服务”而在“AWS中国网站”上提供的“内容”,包括APIs, WSDL、文档、示例代码、软件库、命令行工具、概念验证、模板及其他相关技术(包括我们的人员提供的任何上述内容)。“AWS内容”不包括“服务”或“第三方内容”。
“AWS标识”指我们或“亚马逊”可能就“本协议”向您提供的任何商标、服务标志、服务或商品名、标识及其他名称。
“中国”指中华人民共和国,为“本协议”之目的,不包括香港特别行政区、澳门特别行政区及台湾。
“中国合规程序”指“中国”适用法律强制规定的与“服务产品”相关的任何合规程序。该等程序可由我们依照适用法律自行变更。
“内容”指软件(包括机器映像)、数据、文本、音频、视频或图像。
“文档”指载于http://www.amazonaws.cn/documentation/(以及由我们指定的任何后续或相关网站)的,针对“服务”的使用者指南和管理指南(不包括其通过超链接援引的内容),以我们不时更新的版本为准。
“最终用户”指直接或通过另一个用户间接:(a)访问或使用“您的内容”的任何个人或实体;或(b)以其他方式访问或使用您的账户中的“服务产品”的任何个人或实体。“最终用户”一词不包括正在通过自身AWS账户而非您的“账户”访问或使用“服务”或任何“内容”的个人或实体。
“损失”指任何索赔、损害、损失、责任、成本及费用(包括合理的律师费)。
“政策”指“可接受使用政策”、“隐私政策”、“网站条款”、“服务条款”、“商标使用指南”、“AWS内容”及“AWS中国网站”中所列明的所有限制规定,以及在“本协议”中提及或并入“本协议”的任何其他政策或条款,但不包括白皮书或在“AWS中国网站”上提及的其他宣传材料。
“隐私政策”指目前可在http://www.amazonaws.cn/privacy/beijing(以及由我们指定的任何后续或相关网站)上查阅的隐私政策,以我们不时更新的版本为准。
“被禁止内容”具有“可接受使用政策”中规定的含义,并可由我们不时更新。
“服务”指由我们或我们的关联方提供的每一项服务,包括“服务条款”中所述的网络服务。“服务”不包含“第三方内容”。
“服务水平协议”指我们就“服务”提供并发布于“AWS中国网站”上的所有服务水平协议,以我们不时更新的版本为准。我们目前针对“服务”提供的“服务水平协议”载于http://www.amazonaws.cn/sla(和我们指定的任何后续或相关网站),并可由我们不时更新。
“服务产品”指“服务”(包括相关的API)、“AWS内容”、“AWS标识”、以及我们依照“本协议”规定提供的任何其他产品或服务。“服务产品”不包括“第三方内容”。
“服务条款”指载于http://www.amazonaws.cn/serviceterms/beijing(和我们指定的任何后续或相关网站)的针对特定“服务”的权利和限制规定,以我们不时更新的版本为准。
“网站条款”指载于http://www.amazonaws.cn/terms/(和我们指定的任何后续或相关网站)的使用条款,以我们不时更新的版本为准。
“建议”指您向我们或“IDC服务提供商”提出的对“服务产品”的所有改进建议。
“期限”指第7.1条中所述的“本协议”期限。
“终止日期”指根据第7条的约定,一方向另一方发送的通知中确定的终止的生效日期。
“第三方内容”指由任何第三方在“AWS中国网站”上或连同“服务”一并向您提供的“内容”。
“商标使用指南”指载于http://www.amazonaws.cn/trademark-guidelines/(和我们指定的任何后续或相关网站)的指南及商标许可,以我们不时更新的版本为准。
“您的内容”指您或任何“最终用户”为使用与您的AWS账户相关的“服务”的处理、存储或托管功能,而传输给我们的内容,以及任何您或任何“最终用户”通过前述对“服务”的使用而产生的任何计算结果。例如:“您的内容”包括您或任何“最终用户”在Amazon Simple Storage Service中存储的内容。“您的内容”不包括“账户信息”。

 

 

Sinnet Customer Agreement for AWS (Beijing Region)

This Sinnet Customer Agreement for AWS (Beijing Region) (this “Agreement”) contains the terms and conditions that govern your access to and use of the Service Offerings (as defined below) and is an agreement between you or the entity you represent (“you”), and Beijing Sinnet Technology Co., Ltd. (“Sinnet”, “we”, “us”, or “our”). This Agreement takes effect when you click an “I Accept” button or check box presented with these terms or, if earlier, when you use any of the Service Offerings (the “Effective Date”). You represent to us that you are lawfully able to enter into contracts (e.g., you are not a minor). If you are entering into this Agreement for an entity, such as the company you work for, you represent to us that you have legal authority to bind that entity. Please see Section 14 for definitions of certain capitalized terms used in this Agreement.
1. Use of the Service Offerings.
1.1 Generally. The Service Offerings we provide to you are based on technology of Amazon Connect Technology Services (Beijing) Co., Ltd. and its affiliates (collectively “Amazon”). Although Amazon develops and maintains the underlying technology, the Service Offerings are operated and provided to you by us, not by Amazon. Amazon is not a party to this Agreement, and this Agreement does not provide you with any contractual or other rights or remedies against Amazon. You may access and use the Service Offerings in accordance with this Agreement. Service Level Agreements and Service Terms apply to certain Service Offerings. You will comply with the terms of this Agreement and all laws, rules and regulations applicable to your use of the Service Offerings. The Service Offerings provided to you under this Agreement will be provided to you by Sinnet from the AWS China (Beijing) region located within China. This Agreement does not authorize you to receive or use any service offerings from any other AWS region.
1.2 Your Account and Governmental Approvals. To access the Services, you must have an AWS account associated with a valid e-mail address and one or more valid forms of identification. You must provide sufficient supporting documents (e.g. business license for company or a government issued ID), as requested by us, to allow us to verify your identity. You must promptly inform us of any changes to your identity and provide supporting documents to update your identification information associated with your AWS account. Failure to satisfy these identity verification requirements may result in restricted access to the Service Offerings, suspension and/or termination of your AWS account, or other actions and consequences to your AWS account or your use of the Service Offerings at our sole discretion. Unless explicitly permitted by the Service Terms, you may only create one account per email address. Through your account, you may access and use certain service offerings that are based on technology of Amazon but operated and provided to you by other service provider(s), not by us, from other AWS region(s) within China (“Other AWS China Regions”). Your use of such service offerings from Other AWS China Regions will be subject to the agreement(s) between you and such other service provider(s), not by this Agreement. None of such other service provider(s) is a party to this Agreement, and this Agreement does not provide you with any contractual or other rights or remedies against such other service provider(s). Except to the extent caused by our breach of this Agreement, (a) you are responsible for all activities that occur under your account, regardless of whether the activities are authorized by you or undertaken by you, your employees or a third party (including your contractors, agents or End Users), and (b) we and our affiliates are not responsible for unauthorized access to your account. You will contact us immediately if you believe an unauthorized third party may be using your account or if your Account Information is lost or stolen. You may terminate your account and this Agreement at any time in accordance with Section 7. If any of your accounts are used to conduct a business that is subject to any relevant license, permit or approval by a relevant governmental or regulatory authority (each such license, permit or approval, a “Governmental Approval”), you must obtain all such Governmental Approvals prior to using any Service Offerings to conduct such business under such account and maintain such Governmental Approvals during such use, including without limitation: 
(a) If you use the Services to host a website providing non-commercial Internet information services, you must undertake filing procedures for a non-commercial website (an “ICP Recordal”) at the relevant governmental or regulatory authority; and 
(b) If you use the Services to host a website providing commercial Internet information services, you must obtain a value-added telecommunications license for a commercial website (an “ICP License”) from the relevant governmental or regulatory authority. 
Except as specifically requested by you and agreed by us in writing, we assume no obligation to assist you in procuring or maintaining an ICP Recordal, ICP License or any other Governmental Approval. We may require you to produce all of your Governmental Approvals before providing Services or at any time during the course of its providing the Services to you. If you are unable to produce any such Governmental Approvals, we will have the sole discretion to refuse to continue providing the Services to you (including, without limitation, by preventing you from using the Services to post any content on the internet if you do not supply a valid ICP Recordal or ICP License), or to suspend or terminate your use of the Service Offerings in accordance with Section 6 or Section 7.
1.3 Third Party Content.Third-Party Content may be used by you at your election. Third-Party Content is governed by this Agreement and, if applicable, separate terms and conditions accompanying such Third-Party Content, which terms and conditions may include separate fees and charges.
2. Changes.
2.1 To the Service Offerings. We may change or discontinue any or all of the Service Offerings or change or remove functionality of any or all of the Service Offerings from time to time. We will notify you of any material change to or discontinuation of the Service Offerings.
2.2 To the APIs. We may change or discontinue any APIs for the Services from time to time. For any discontinuation of or material change to an API for a Service, we will use commercially reasonable efforts to continue supporting the previous version of such API for 12 months after the change or discontinuation (except if doing so (a) would pose a security or intellectual property issue, (b) is economically or technically burdensome, or (c) would cause us to violate the law or requests of governmental or regulatory authority).
2.3 To the Service Level Agreements. We may change, discontinue or add Service Level Agreements from time to time in accordance with Section 12.
3. Security and Data Privacy.
3.1 AWS Security. Without limiting Section 10 or your obligations under Section 4.2, we will implement reasonable and appropriate measures designed to help you secure Your Content against accidental or unlawful loss, access or disclosure.
3.2 Data Privacy. Your Content will be stored only in the AWS China Network. You consent to the storage of Your Content in, and transfer of Your Content into, the AWS China Network. We will not (a) access or use Your Content, (b) disclose Your Content to any government or third party or (c) move Your Content outside of the AWS China Network, except in each case as necessary to maintain or provide the Service Offerings, or as necessary to comply with the law, China Compliance Procedures or requests of governmental or regulatory authorities. Unless it would violate the law, China Compliance Procedures or requests of governmental or regulatory authorities, we will give you notice of any such requests. We will only use your Account Information in accordance with the Privacy Policy, and you consent to such usage. The Privacy Policy does not apply to Your Content. You also consent to our collection, use and disclosure of information associated with your use of the Service Offerings, such as resource identifiers, metadata tags, security and access roles, rules, usage policies, permissions, usage statistics and analytics, in accordance with our Privacy Policy. The service provider(s) of service offerings from Other AWS China Regions will have access to your Account Information, and you consent to such access. Their use of your Account Information will be subject to the privacy policies applicable between you and them.
4. Your Responsibilities
4.1 Your Content. You will ensure that Your Content and your and End Users’ use of Your Content or the Service Offerings will not violate any of the Policies or any applicable law. You are solely responsible for the development, content, operation, maintenance, and use of Your Content.
4.2 Your Security and Backup. You are responsible for properly configuring and using the Service Offerings and otherwise taking appropriate action to secure, protect and backup your accounts and Your Content in a manner that will provide appropriate security and protection, which might include use of encryption to protect Your Content from unauthorized access and routinely archiving Your Content.
4.3 Log-In Credentials and Account Keys. AWS log-in credentials and private keys generated by the Services are for your internal use only and you may not sell, transfer or sublicense them to any other entity or person, except that you may disclose your private key to your agents and subcontractors performing work on your behalf.
4.4 End Users. You will be deemed to have taken any action that you permit, assist or facilitate any person or entity to take related to this Agreement, Your Content or use of the Service Offerings. You are responsible for End Users’ use of Your Content and the Service Offerings. You will ensure that all End Users comply with your obligations under this Agreement and that the terms of your agreement with each End User are consistent with this Agreement. If you become aware of any violation of your obligations under this Agreement caused by an End User, you will immediately suspend access to Your Content and the Service Offerings by such End User. We do not provide any support or services to End Users unless we have a separate agreement with you or an End User obligating us to provide such support or services.
4.5 Prohibited Content. If either you or we determine that any of Your Content contains any Prohibited Content, you agree that you will immediately terminate access to such content, keep relevant records and report the violation to the relevant governmental or regulatory authority. You acknowledge and agree that if we determine that any of Your Content contains any Prohibited Content, we will have the right to immediately remove Your Content and suspend your or any End User’s right to access or use any portion of or all of Your Content and the Service Offerings.
4.6 Internet Information Service Providers. If you or an End User is using the Service Offerings to offer an Internet information service, you agree to record the content, time of release, Internet protocol address or domain name of any information provided by you or an End User and to provide the same during any inquiry made by a relevant governmental or regulatory authority according to the law.
5. Fees and Payment
5.1. Service Fees. We calculate and bill fees and charges monthly. We may bill you more frequently for fees accrued if we suspect that your account is fraudulent or at risk of non-payment. You will pay us the applicable fees and charges for use of the Service Offerings as described on the AWS China Site using one of the payment methods we support within 30 days of the date of the bill. All amounts payable by you under this Agreement will be paid to us without setoff or counterclaim, and without any deduction or withholding. Fees and charges for any new Service or new feature of a Service will be effective when we post updated fees and charges on the AWS China Site, unless we expressly state otherwise in a notice. We may increase or add new fees and charges for any existing Services you are using by giving you at least 30 days’ prior notice. We may elect to charge you interest at the rate of 1.5% per month (or the highest rate permitted by law, if less) on all late payments.
5.2 Taxes. All fees and charges payable by you are exclusive of applicable taxes and duties, such as value added tax (“VAT”) and local surcharges. If we are required by law or by administration thereof to collect any applicable VAT from you, you will pay such VAT to us, unless you qualify for an exemption from any such VAT. If you are legally entitled to an exemption from VAT, you are responsible for providing us with legally-sufficient tax exemption certificates for each taxing jurisdiction. We will apply the tax exemption certificates to charges under your account occurring after the date we receive the tax exemption certificates. If any deduction or withholding is required by law, you will notify us and will pay us any additional amounts necessary to ensure that the net amount that we receive, after any deduction and withholding, equals the amount we would have received if no deduction or withholding had been required. Additionally, you will provide us with documentation showing that the withheld and deducted amounts have been paid to the relevant taxing authority.
5.3 Tax Invoices. If requested by you, we will issue you tax invoices (“Fapiaos”) according to the fees and charges specified in your bill and received in full by us. The type of Fapiao, i.e., general VAT invoice or special VAT invoice, will be determined based on your tax status and the supporting documents/information that you are required to upload for validation.
6. Temporary Suspension
6.1 Generally. We may suspend your or any End User’s right to access or use any portion or all of the Service Offerings immediately upon notice to you if we determine: 
(a) your or an End User’s use of or registration for the Service Offerings (i) violates law or does not comply with China Compliance Procedures, including without limitation, failure to obtain or maintain Governmental Approvals, (ii) poses a security risk to the Service Offerings or any third party, (iii) could adversely impact our systems, the Service Offerings or the systems or Content of any other AWS customer, (iv) could subject us, our affiliates, or any third party to liability, or (v) could be fraudulent; 
(b) you are, or any End User is, in breach of this Agreement; 
(c) you are in breach of your payment obligations under Section 5; 
(d) your use of service offerings from Other AWS China Regions through your account is suspended; or 
(e) you have ceased to operate in the ordinary course, made an assignment for the benefit of creditors or similar disposition of your assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution or similar proceeding.
6.2 Effect of Suspension. If we suspend your right to access or use any portion or all of the Service Offerings: 
(a) you remain responsible for all fees and charges you incur during the period of suspension; and 
(b) you will not be entitled to any service credits under the Service Level Agreements for any period of suspension. 
You consent to our right to inform each other service provider responsible for operating and providing service offerings from Other AWS China Regions of any suspension under this Agreement.
7. Term; Termination
7.1. Term. The term of this Agreement will commence on the Effective Date and will remain in effect until terminated under this Section 7. Any notice of termination of this Agreement by either party to the other must include a Termination Date that complies with the notice periods in Section 7.2.
7.2 Termination. 
(a) Termination for Convenience. You may terminate this Agreement for any reason by (i) providing us notice and (ii) closing your account for all Services for which we provide an account closing mechanism. If you close your account, you agree and understand that you will terminate each other agreement governing your use of service offerings from Other AWS China Regions through your account. We may terminate this Agreement for any reason by providing you at least 30 days’ advance notice. 
(b) Termination for Cause. 
(i) By Either Party. Either party may terminate this Agreement for cause if the other party is in material breach of this Agreement and the material breach remains uncured for a period of 30 days from receipt of notice by the other party. No later than the Termination Date, you will close your account. 
(ii) By Us. We may also terminate this Agreement immediately upon notice to you (A) for cause if we have the right to suspend under Section 6, (B) if our relationship with a third-party partner who provides software, hardware, facilities or other technology we use to provide the Service Offerings expires, terminates or requires us to change the way we operate or provide the software hardware, facilities or other technology as part of the Services, (C) in order to comply with the law or requests of governmental or regulatory authorities, or (D) if any other agreement governing your use service offerings from Other AWS China Regions through your account is terminated.
7.3. Effect of Termination. 
(a) Generally. Upon the Termination Date: 
(i) except as provided in Section 7.3(b), all your rights under this Agreement immediately terminate; 
(ii) you remain responsible for all fees and charges you have incurred through the Termination Date and are responsible for any fees and charges you incur during the post-termination period described in Section 7.3(b); 
(iii) you will immediately return or, if instructed by us, destroy all AWS Content in your possession; and 
(iv) Sections 4.1, 4.5, 4.6, 5, 7.3, 8 (except the authorization granted to you in Section 8.3), 9, 10, 11, 13 and 14 will continue to apply in accordance with their terms. 
You consent to our right to inform each other service provider responsible for operating and providing service offerings from Other AWS China Regions of the termination of this Agreement. 
(b) Post-Termination. Unless we terminate your use of the Service Offerings pursuant to Section 7.2(b), during the 30 days following the Termination Date: 
(i) we will not take action to remove from the AWS systems any of Your Content as a result of the termination; and 
(ii) we will allow you to retrieve Your Content from the Services only if you have paid all amounts due under this Agreement. 
For any use of the Services after the Termination Date, the terms of this Agreement will apply and you will pay the applicable fees at the rates under Section 5. We will not be obligated to provide the post-termination assistance described in this Section where: (A) it is prohibited by law or the request of a governmental or regulatory authority or (B) it may subject us to liability.
8. Proprietary Rights
8.1 Your Content. Except as provided in this Section 8, we obtain no rights under this Agreement from you (or your licensors) to Your Content. You consent to our use of Your Content to provide the Service Offerings to you and any End Users.
8.2 Adequate Rights. You represent and warrant to us that: (a) you or your licensors own all right, title, and interest in and to Your Content and Suggestions; (b) you have all rights in Your Content and Suggestions necessary to grant the rights contemplated by this Agreement; and (c) none of Your Content or End Users’ use of Your Content or the Service Offerings will violate the Acceptable Use Policy.
8.3 Service Offerings Authorization. We or Amazon or our and their respective affiliates or our licensors own all right, title, and interest in and to the Service Offerings, and all related technology and intellectual property rights. Subject to the terms of this Agreement, you may, on a limited, revocable, non-exclusive, non-sublicensable, non-transferrable license to do the following: (a) access and use the Services solely in accordance with this Agreement; and (b) copy and use the AWS Content solely in connection with your permitted use of the Services. Except as provided in this Section 8.3, you obtain no rights under this Agreement from us or Amazon or our and their respective affiliates or our licensors to the Service Offerings, including any related intellectual property rights. Some AWS Content and Third-Party Content may be provided to you under a separate license, such as the Apache License, Version 2.0, or other open source license. In the event of a conflict between this Agreement and any separate license, the separate license will prevail with respect to the AWS Content or Third-Party Content that is the subject of such separate license.
8.4 Use Restrictions. Neither you nor any End User will use the Service Offerings in any manner or for any purpose other than as expressly permitted by this Agreement. Neither you nor any End User will, or will attempt to (a) modify, distribute, alter, tamper with, repair, or otherwise create derivative works of any Content included in the Service Offerings (except to the extent Content included in the Service Offerings is provided to you under a separate license that expressly permits the creation of derivative works), (b) reverse engineer, disassemble, or decompile the Service Offerings or apply any other process or procedure to derive the source code of any software included in the Service Offerings (except to the extent applicable law doesn’t allow this restriction), (c) access or use the Service Offerings in a way intended to avoid incurring fees or exceeding usage limits or quotas, or (d) resell or sublicense the Service Offerings. You may only use the AWS Marks in accordance with the Trademark Use Guidelines. You will not misrepresent or embellish the relationship between us and you (including by expressing or implying that we support, sponsor, endorse, or contribute to you or your business endeavors). You will not imply any relationship or affiliation between us and you except as expressly permitted by this Agreement.
8.5 Suggestions. If you provide any Suggestions to us or our affiliates, we and our affiliates will be entitled to use and authorize any third party to use the Suggestions without restriction. You hereby irrevocably assign to us all right, title, and interest in and to the Suggestions and agree to provide us any assistance we require to document, perfect, and maintain our rights in the Suggestions.
9. Indemnification.
9.1. General. You will defend, indemnify, and hold harmless us and Amazon and each of our and their respective affiliates, licensors, employees, officers, directors, and representatives from and against any Losses arising out of or relating to any third-party claim concerning: (a) your or any End Users’ use of the Service Offerings (including any activities under your AWS account and use by your employees and personnel); (b) breach of this Agreement or violation of applicable law by you, End Users or Your Content; or (c) a dispute between you and any End User. You will reimburse us and Amazon and each of our and their respective affiliates for reasonable attorneys’ fees, as well as our and Amazon’s and each of our and their respective affiliates’ employees’ and contractors’ time and materials spent responding to any third party subpoena or other compulsory legal order or process associated with third party claims described in (a) through (c) above at our and Amazon’s and each of our and their respective affiliates’ then-current hourly rates.
9.2. Intellectual Property 
(a) Subject to the limitations in this Section 9, we will defend you and your employees, officers, and directors against any third-party claim alleging that the Services infringe or misappropriate that third party’s intellectual property rights, and will pay the amount of any adverse final judgment or settlement. 
(b) Subject to the limitations in this Section 9, you will defend us and Amazon and each of our and their respective affiliates, employees, officers, and directors against any third-party claim alleging that any of Your Content infringes or misappropriates that third party’s intellectual property rights, and will pay the amount of any adverse final judgment or settlement. 
(c) Neither party will have obligations or liability under this Section 9.2 arising from infringement by combinations of the Services or Your Content, as applicable, with any other product, service, software, data, content or method. In addition, we will have no obligations or liability arising from your or any End User’s use of the Services after we have notified you to discontinue such use. The remedies provided in this Section 9.2 are the sole and exclusive remedies for any third-party claims of infringement or misappropriation of intellectual property rights by the Services or by Your Content. 
(d) For any claim covered by Section 9.2(a), we will, at our election, either: (i) procure the rights to use that portion of the Services alleged to be infringing; (ii) replace the alleged infringing portion of the Services with a non-infringing alternative; (iii) modify the alleged infringing portion of the Services to make it non-infringing; or (iv) terminate the allegedly infringing portion of the Services or this Agreement. 
9.3 Process. The obligations under this Section 9 will apply only if the party seeking defense or indemnity: (a) gives the other party prompt written notice of the claim; (b) permits the other party to control the defense and settlement of the claim; and (c) reasonably cooperates with the other party (at the other party’s expense) in the defense and settlement of the claim. In no event will a party agree to any settlement of any claim that involves any commitment, other than the payment of money, without the written consent of the other party.
10. Disclaimers. 
THE SERVICE OFFERINGS ARE PROVIDED “AS IS.” EXCEPT TO THE EXTENT PROHIBITED BY LAW, OR TO THE EXTENT ANY STATUTORY RIGHTS APPLY THAT CANNOT BE EXCLUDED, LIMITED OR WAIVED, WE AND AMAZON AND EACH OF OUR AND THEIR RESPECTIVE AFFILIATES AND LICENSORS (A) MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE REGARDING THE SERVICE OFFERINGS OR THE THIRD-PARTY CONTENT, AND (B) DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED OR EXPRESS WARRANTIES (I) OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUIET ENJOYMENT, (II) ARISING OUT OF ANY COURSE OF DEALING OR USAGE OF TRADE, (III) THAT THE SERVICE OFFERINGS OR THIRD-PARTY CONTENT WILL BE UNINTERRUPTED, ERROR FREE OR FREE OF HARMFUL COMPONENTS, AND (IV) THAT ANY CONTENT WILL BE SECURE OR NOT OTHERWISE LOST OR ALTERED.
11. Limitations of Liability. 
WE AND AMAZON AND EACH OF OUR AND THEIR RESPECTIVE AFFILIATES AND LICENSORS WILL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUES, CUSTOMERS, OPPORTUNITIES, GOODWILL, USE, OR DATA), EVEN IF ANY ENTITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF THEY ARE OTHERWISE FORESEEABLE. FURTHER, NEITHER WE NOR AMAZON OR ANY OF OUR OR THEIR RESPECTIVE AFFILIATES OR LICENSORS WILL BE RESPONSIBLE FOR ANY COMPENSATION, REIMBURSEMENT, OR DAMAGES ARISING IN CONNECTION WITH: (A) YOUR INABILITY TO USE THE SERVICES, INCLUDING AS A RESULT OF ANY (I) TERMINATION OR SUSPENSION OF THIS AGREEMENT OR YOUR USE OF OR ACCESS TO THE SERVICE OFFERINGS OR SERVICE OFFERINGS FROM OTHER AWS CHINA REGIONS, (II) OUR DISCONTINUATION OF ANY OR ALL OF THE SERVICE OFFERINGS, OR, (III) WITHOUT LIMITING ANY OBLIGATIONS UNDER THE SERVICE LEVEL AGREEMENTS, ANY UNANTICIPATED OR UNSCHEDULED DOWNTIME OF ALL OR A PORTION OF THE SERVICES FOR ANY REASON; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; (C) ANY INVESTMENTS, EXPENDITURES, OR COMMITMENTS BY YOU IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF OR ACCESS TO THE SERVICE OFFERINGS; OR (D) ANY UNAUTHORIZED ACCESS TO, ALTERATION OF, OR THE DELETION, DESTRUCTION, DAMAGE, LOSS OR FAILURE TO STORE ANY OF YOUR CONTENT OR OTHER DATA. IN ANY CASE, EXCEPT FOR PAYMENT OBLIGATIONS UNDER SECTION 9.2, OUR AND AMAZON’S AND EACH OF OUR AND THEIR RESPECTIVE AFFILIATES’ AND LICENSORS’ AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAY US UNDER THIS AGREEMENT FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE LIABILITY AROSE. YOU ACKNOWLEDGE AND AGREE THAT WE AND AMAZON AND EACH OF OUR OR THEIR RESPECTIVE AFFILIATES AND LICENSORS HAVE LIMITED ABILITY TO FORESEE DAMAGES THAT MAY BE CAUSED BY ANY BREACH BY US OR AMAZON OR ANY OF OUR OR THEIR RESPECTIVE AFFILIATES OR LICENSORS DUE TO THE VARIETY OF MANNERS IN WHICH YOU OR YOUR END USERS MAY USE AWS SERVICES, EVEN IF WE MAY HAVE HAD EXCHANGES WITH YOU ON THE POTENTIAL AND THEORETICAL CONSEQUENCES OF ANY SUCH BREACH. THEREFORE, YOU AGREE THAT YOU BEAR THE BURDEN TO PROVE ALL ACTUAL, FORESEEABLE DAMAGES.
12. Modifications to the Agreement. 
We may modify this Agreement (including any Policies) at any time by posting a revised version on the AWS China Site or by otherwise notifying you in accordance with Section 13.9; provided, however, that we will provide at least 90 days’ advance notice in accordance with Section 13.9 for adverse changes to any Service Level Agreement. Subject to the 90 day advance notice requirement with respect to adverse changes to Service Level Agreements, the modified terms will become effective upon posting or, if we notify you by email, as stated in the email message. By continuing to use the Service Offerings after the effective date of any modifications to this Agreement, you agree to be bound by the modified terms. It is your responsibility to check the AWS China Site regularly for modifications to this Agreement. We last modified this Agreement on the date listed at the beginning of this Agreement.
13. Miscellaneous.
13.1 Assignment. You will not assign or otherwise transfer this Agreement or any of your rights and obligations under this Agreement, without our prior written consent. Any assignment or transfer in violation of this Section 13.1 will be void. You consent to the assignment or transfer of this Agreement or any of our rights or obligations under this Agreement, to any successor, assignee or transferee by our providing notice to you in accordance with Section 13.9. You acknowledge this assignment or transfer takes effect upon the posting or sending of our notice, or as otherwise stated in the notice. Subject to the foregoing, this Agreement will be binding upon, and inure to the benefit of the parties and their respective permitted successors and assigns.
13.2 Entire Agreement. This Agreement incorporates the Policies by reference and is the entire agreement between you and us regarding the subject matter of this Agreement. This Agreement supersedes all prior or contemporaneous representations, understandings, agreements, or communications between you and us, whether written or verbal, regarding the subject matter of this Agreement (but does not supersede prior commitments to purchase Services such as Amazon EC2 Reserved Instances). We will not be bound by, and specifically object to, any term, condition or other provision that is different from or in addition to the provisions of this Agreement (whether or not it would materially alter this Agreement) including for example, any term, condition or other provision (a) submitted by you in any order, receipt, acceptance, confirmation, correspondence or other document, (b) related to any online registration, response to any Request for Bid, Request for Proposal, Request for Information, or other questionnaire, or (c) related to any invoicing process that you submit or require us to complete. If the terms of this document are inconsistent with the terms contained in any Policy, the terms contained in this document will control, except that the Service Terms will control over this document.
13.3 Force Majeure. We and our affiliates will not be liable for any delay or failure to perform any obligation under this Agreement where the delay or failure results from any cause beyond our or their reasonable control, including acts of God, labor disputes or other industrial disturbances, electrical or power outages, utilities or other telecommunications failures, earthquake, storms or other elements of nature, blockages, embargoes, riots, acts or orders of governmental or regulatory authorities (including, without limitation, the passage of laws or regulations or other acts of regulatory or governmental authorities that impact the delivery of Services), acts of terrorism, or war.
13.4 Governing Law; Disputes. This Agreement is governed by the laws of the People’s Republic of China excluding any conflicts of laws rules or principles. Any dispute relating in any way to the Service Offerings or this Agreement will be submitted to the China International Economic and Trade Arbitration Commission for arbitration in Beijing, which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties. The number of arbitrators shall be three.
13.5 Import and Export Compliance. In connection with this Agreement, each party will comply with all applicable import, re-import, sanctions, anti-boycott, export, and re-export control laws and regulations. For clarity, you are solely responsible for compliance related to the manner in which you choose to use the Service Offerings, including your transfer and processing of Your Content and the provision of Your Content to End Users.
13.6 Independent Contractors; Non-Exclusive Rights. We and you are independent contractors, and this Agreement will not be construed to create a partnership, joint venture, agency, or employment relationship. Neither party, nor any of their respective affiliates, is an agent of the other for any purpose or has the authority to bind the other. Both parties reserve the right (a) to develop or have developed for it products, services, concepts, systems, or techniques that are similar to or compete with the products, services, concepts, systems, or techniques developed or contemplated by the other party, and (b) to assist third party developers or systems integrators who may offer products or services which compete with the other party’s products or services.
13.7 Language. All communications and notices to be made or given pursuant to this Agreement must be in the Chinese language. If we provide a translation of the Chinese language version of this Agreement, the Chinese language version of the Agreement will control if there is any conflict.
13.8 Confidentiality and Publicity. You may use AWS Confidential Information only in connection with your use of the Service Offerings as permitted under this Agreement. You will not disclose AWS Confidential Information during the Term or at any time during the 5 year period following the end of the Term. You will take all reasonable measures to avoid disclosure, dissemination or unauthorized use of AWS Confidential Information, including, at a minimum, those measures you take to protect your own confidential information of a similar nature. You will not issue any press release or make any other public communication with respect to this Agreement or your use of the Service Offerings.
13.9 Notice. 
(a) To You. We may provide any notice to you under this Agreement by: (i) posting a notice on the AWS China Site; or (ii) sending a message to the email address then associated with your account. Notices we provide by posting on the AWS China Site will be effective upon posting and notices we provide by email will be effective when we send the email. It is your responsibility to keep your email address current. You will be deemed to have received any email sent to the email address then associated with your account when we send the email, whether or not you actually receive the email. 
(b) To Us. To give us notice under this Agreement, you must contact us as follows: (i) by facsimile transmission to86-10-6418-1819; or (ii) by personal delivery, overnight courier or registered or certified mail to 2/F, Tower A, East Gate Plaza, No.9 Dongzhongjie Street, Dongcheng District, Beijing, P.R. China, 100027 Beijing Sinnet Technology Co., Ltd. We may update the facsimile number or address for notices to us by posting a notice on the AWS China Site. Notices provided by personal delivery will be effective immediately. Notices provided by overnight courier will be effective one business day after they are sent. Notices provided registered or certified mail will be effective three business days after they are sent.
13.10 No Third Party Beneficiaries. Except as provided in Section 9 or as otherwise explicitly provided in this Agreement, this Agreement does not create any third party beneficiary rights in any individual or entity that is not a party to this Agreement.
13.11 No Waivers. The failure by us to enforce any provision of this Agreement will not constitute a present or future waiver of such provision nor limit our right to enforce such provision at a later time. All waivers by us must be in writing to be effective.
13.12 Severability. If any portion of this Agreement is held to be invalid or unenforceable, the remaining portions of this Agreement will remain in full force and effect. Any invalid or unenforceable portions will be interpreted to effect and intent of the original portion. If such construction is not possible, the invalid or unenforceable portion will be severed from this Agreement but the rest of the Agreement will remain in full force and effect.
14. Definitions.
“Acceptable Use Policy” means the policy located at http://www.amazonaws.cn/en/aup/beijing (and any successor or related locations designated by us), as it may be updated by us from time to time.
“Account Information” means information about you that you provide to us in connection with the creation or administration of your AWS account. For example, Account Information includes names, usernames, phone numbers, email addresses and billing information associated with your AWS account.
“API” means an application program interface.
“AWS China Network” means the data center facilities, servers, networking equipment, and host software systems (e.g., virtual firewalls) that are physically located in China within our control and used to provide the Services.
“AWS China Site” means http://amazonaws.cn (and any successor or related site designated by us), as may be updated by us from time to time.
“AWS Confidential Information” means all nonpublic information disclosed by us or Amazon or our or their respective affiliates, business partners, or our or their respective employees, contractors or agents that is designated as confidential or that, given the nature of the information or circumstances surrounding its disclosure, reasonably should be understood to be confidential. AWS Confidential Information includes: (a) nonpublic information relating to our or Amazon’s or our or their affiliates or business partners’ technology, customers, business plans, promotional and marketing activities, finances and other business affairs; (b) third-party information that we are obligated to keep confidential; and (c) the nature, content and existence of any discussions or negotiations between you and us or our affiliates. AWS Confidential Information does not include any information that: (i) is or becomes publicly available without breach of this Agreement; (ii) can be shown by documentation to have been known to you at the time of your receipt from us; (iii) is received from a third party who did not acquire or disclose the same by a wrongful or tortious act; or (iv) can be shown by documentation to have been independently developed by you without reference to the AWS Confidential Information.
“AWS Content” means Content made available in connection with the Services or on the AWS China Site to allow access to and use of the Services, including APIs; WSDLs; Documentation; sample code; software libraries; command line tools; proofs of concept; templates; and other related technology (including any of the foregoing that are provided by our personnel). AWS Content does not include the Services or Third-Party Content.
“AWS Marks” means any trademarks, service marks, service or trade names, logos, and other designations that we or Amazon may make available to you in connection with this Agreement.
“China” means the People’s Republic of China. For purposes of this Agreement, the Hong Kong Special Administrative Region, Macao Special Administrative Region and Taiwan are excluded.
“China Compliance Procedures” means any compliance procedures mandated under applicable law in China for the Service Offerings. Such procedures may be modified in our sole discretion in accordance with applicable law.
“Content” means software (including machine images), data, text, audio, video or images.
“Documentation” means the user guides and admin guides (in each case exclusive of content referenced via hyperlink) for the Services located at http://www.amazonaws.cn/en/documentation/ (and any successor or related locations designated by us), as such user guides and admin guides may be updated by us from time to time.
“End User” means any individual or entity that directly or indirectly through another user: (a) accesses or uses Your Content; or (b) otherwise accesses or uses the Service Offerings under your account. The term “End User” does not include individuals or entities when they are accessing or using the Services or any Content under their own AWS account, rather than under your account.
“Losses” means any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees).
“Policies” means the Acceptable Use Policy, Privacy Policy, the Site Terms, the Service Terms, the Trademark Use Guidelines, all restrictions described in the AWS Content and on the AWS China Site, and any other policy or terms referenced in or incorporated into this Agreement, but does not include whitepapers or other marketing materials referenced on the AWS China Site.
“Privacy Policy” means the privacy policy located at http://www.amazonaws.cn/en/privacy/beijing (and any successor or related locations designated by us), as it may be updated by us from time to time.
“Prohibited Content” has the meaning given to such term in the Acceptable Use Policy, as it may be updated by us from time to time.
“Service” means each of the services made available by us or our affiliates, including those web services described in the Service Terms. Services do not include Third-Party Content.
“Service Level Agreement” means all service level agreements that we offer with respect to the Services and post on the AWS China Site, as they may be updated by us from time to time. The service level agreements we offer with respect to the Services are located at http://www.amazonaws.cn/en/sla/ (and any successor or related locations designated by us), as may be updated by us from time to time.
“Service Offerings” means the Services (including associated APIs), the AWS Content, the AWS Marks, and any other product or service provided by us under this Agreement. Service Offerings do not include Third Party Content.
“Service Terms” means the rights and restrictions for particular Services located at http://www.amazonaws.cn/en/serviceterms/beijing (and any successor or related locations designated by us), as may be updated by us from time to time.
“Site Terms” means the terms of use located at http://www.amazonaws.cn/en/terms/ (and any successor or related locations designated by us), as may be updated by us from time to time.
“Suggestions” means all suggested improvements to the Service Offerings that you provide to us.
“Term” means the term of this Agreement described in Section 7.1.
“Termination Date” means the effective date of termination provided in accordance with Section 7, in a notice from one party to the other.
“Third Party Content” means Content made available to you by any third party on the AWS China Site or in conjunction with the Services.
“Trademark Use Guidelines” means the guidelines and trademark license located at http://www.amazonaws.cn/en/trademark-guidelines/ (and any successor or related locations designated by us), as may be updated by us from time to time.
“Your Content” means Content that you or any End User transfers to us for processing, storage or hosting by the Services in connection with your AWS account and any computational results that you or any End User derive from the foregoing through their use of the Services. For example, Your Content includes Content that you or any End User stores in Amazon Simple Storage Service. Your Content does not include Account Information.

 服务费积分申请与支付程序 若要获取服务费积分,您必须以在AWS支持中心开立案例的方式提出申请。服务费积分申请,若要符合条件,必须在所涉事故发生后的第二个计费周期届满前送达我们,并且必须包含以下内容:服务费积分仅可用来冲抵您未来应支付的涵盖产品及服务相关服务费。您获得的服务费积分并不赋予您从我们获取任何退款或其他款项的权利。只有相应月度计费周期的积分金额高于一元人民币(¥1)时,服务费积分才会适用并发放。服务费积分不得转让,也不得适用于任何其他账户。除非《协议》另有规定,否则涵盖产品及服务出现任何不可用或无法运行的情况,或者我们由于其他原因未提供涵盖产品及服务之时,您享有的唯一且排他的救济即为根据本《服务水平协议》的规定获取服务费积分(若适用)。

1. 主题行中有“《服务水平协议》服务费积分申请”的字样; 2. 您主张的每一不可用事故的发生日期和时间; 3. 受影响的EC2实例标识符或受影响的EBS卷标识符;及 4. 您记录出现的错误并证实您所主张的运行中断事故的请求日志(该等日志中的任何保密或敏感信息均应予以删除或者以星号取代)。
如果该申请所涉的月度正常运行时间百分比获得我们确认,并且未达到服务承诺,则在您申请确认之月后下一个计费周期内,我们将向您发放服务费积分。您未提交服务费积分申请以及上文要求的其他信息的,将无资格获取服务费积分。
《光环新网 Amazon Compute服务水平协议》例外情形 因以下原因而导致涵盖产品及服务出现任何不可用、中断、终止或任何其他影响涵盖产品及服务运行问题的,不适用服务承诺:(i)《协议》第6.1条所述的中止;(ii)我们无法合理控制的因素,包括任何不可抗力事件或者涵盖产品及服务分界点以外的互联网接入问题或相关问题;(iii)您或任何第三方的任何作为或不作为,包括未对恢复卷进行确认;(iv)您的设备、软件或其他技术和/或第三方的设备、软件或其他技术(但我们直接控制范围内的第三方设备除外);(v)并非由区域不可用性导致的个别实例或卷失败;(vi)根据《协议》提供的任何维护;或(vii)您根据《协议》使用涵盖产品及服务的权利被我们中止或终止(统称“《光环新网 Amazon Compute服务水平协议》例外情形”)。如果对可用性产生影响的因素不同于我们在计算月度正常运行时间百分比时所用的因素,我们有权在考虑该等因素之后,自行决定发放服务费积分。
2.1.1 数据存储的持久性默认情况下,当实例终止时,附加到该实例的 EBS 卷会自动分离,同时完整地保留数据。然后,可将卷重新附加到新的实例,从而快速恢复数据。如果您使用的是 EBS 支持的实例,则可以停止并重启该实例,而不会影响与其附加的卷中存储的数据。在从停止到启动的整个周期中,该卷均为已附加状态。这使您能够无限期地在卷上处理和存储数据,并只在需要时使用处理和存储资源。数据将一直保存在该卷上,直至将其显式删除。已删除的 EBS 卷使用的物理数据块存储先由零覆盖,然后分配给其他账户。如果要处理敏感数据,应考虑手动加密数据或将数据存储在由 Amazon EBS 加密 保护的卷上。有关更多信息,请参阅 Amazon EBS Encryption。 光环新网 Amazon EC2存储为Amazon EBS,数据存储持久性遵循本《服务水平协议》2.1章节“业务可用性”承诺。 
2.1.2 数据可销毁性 在您要求删除数据后或设备在弃置前,光环新网 将采取置零覆盖的方法完全删除您所有数据,并无法复原,硬盘到期报废时将进行消磁、粉碎。
2.1.3 数据可迁移性 光环新网 AWS云计算提供AWS Server Migration Service (AWS SMS)能够将您内部的 VMware vSphere 或 Microsoft Hyper-V/SCVMM 虚拟机复制为Amazon 系统映像 (AMI)自动迁移到光环新网 AWS云服务器上,也可以随时将它们导出。
 2.1.4 数据私密性 光环新网 AWS云服务通过Amazon Virtual Private Cloud (Amazon VPC)以下3种功能实现用户数据私密性:

2.1.5 数据知情权 光环新网 AWS云计算服务部署在中国北京区,共有2个可用区互为热备。 上述数据中心均遵守的当地的法律和中华人民共和国相关法律。 除非为维持或提供“服务产品”所需,或为遵守法律、“中国合规程序”或政府或监管机构要求所需,我们不会将“您的内容”披露给任何政府或第三方或将“您的内容”移至“AWS中国网络”之外。 
2.1.6 数据可审查性您的内容将仅存储在AWS中国网络(AWS中国网络指实物位于“中国”境内,且处于我们控制之下,并用于提供AWS中国(北京)区域云服务的数据中心设施、服务器、网络设备以及主机软件系统等)上。您同意将您的内容存储于和传输至AWS中国网络。除非为遵守法律、“中国合规程序”或政府或监管机构要求所需,我们不会:(a)访问或使用“您的内容”;(b)将“您的内容”披露给任何政府或第三方;或(c)将“您的内容”移至“AWS中国网络”之外。除非违反法律、“中国合规程序”或政府或监管机构的要求,否则,在遵守上述要求时,我们将向您发出相应通知。 在依据现有法律法规体系下,出于配合政府监管部门的监管或安全取证调查等原因的需要,在符合流程和手续完备的情况下,可以提供云服务器相关信息,包括关键组件的运行日志、运维人员的操作记录等。
2.1.7 业务功能 AWS中国(北京)区域云提供的云服务器实例的服务功能,具体包括Amazon Elastic Block Store (EBS),经过优化的 CPU 配置,弹性 IP 地址,Amazon Virtual Private Cloud (Amazon VPC),Amazon CloudWatch,Auto Scaling,Elastic Load Balancing,高性能计算 (HPC) 集群,VM Import/Export,增强型联网,自动恢复等功能。所有功能均已提供详细的功能介绍和使用说明文档。

2.1.9 业务资源调配能力 AWS中国(北京)区域云主机具有Auto Scaling功能,有了 Auto Scaling,便可以根据用户定义的条件自动扩展 Amazon EC2 容量。使用 Auto Scaling,用户可以确保所使用的 Amazon EC2 实例数量在需求高峰期实现无缝增长以保持性能,也可以在需求平淡期自动缩减,以最大程度降低成本。Auto Scaling 特别适合每小时、每天或每周使用率都不同的应用程序。 Auto Scaling 通过 Amazon CloudWatch 启用,除了 Amazon CloudWatch 费用外,无需支付其他任何费用。 用户可根据自定义的阈值设置扩展策略进行扩展或收缩,响应速度为分钟级。

3 、网络接入性能 光环新网 AWS云服务通过用户购买的不同云服务器实例类型来限定各类型实例的网卡带宽,范围为 0~10Gbps 或0~ 25Gbps,通过网卡带宽来限定用户共享公网带宽,按用户实际使用流量收费。光环新网 AWS云服务采用中国联通、中国电信等作为网络接入提供商。

1. 通则
本《光环新网Amazon RDS服务水平协议》(下称“《服务水平协议》”)属于Amazon Relational Database Service(下称“Amazon RDS”)的使用政策,受北京光环新网科技股份有限公司(下称“光环新网”或"我们")和您订立的《光环新网关于AWS(北京区域)的客户协议》(下称"《协议》",该协议载于http://www.aapayday.com/并会不时进行修订)之条款的约束。本《服务水平协议》分别适用于使用AWS中国(北京)区域的Amazon RDS的各个账户。除非本《服务水平协议》另有规定,否则本《服务水平协议》须受《协议》的条款的约束,且本《服务水平协议》中的定义术语,应以《协议》规定的含义为准。我们保留根据《协议》的规定对本《服务水平协议》条款进行修订的权利。

2.1 业务可用性
服务承诺
我们将尽商业上的合理努力确保多可用区实例在任何月度计费周期内的可用度达到下文定义的月度正常运行时间百分比,最低为99.95%(下称“服务承诺”)。如果Amazon RDS不符合服务承诺,您将有资格获得下文所述的服务费积分。只有您在AWS中国(北京)区域使用Amazon RDS时,我们才会根据本《服务水平协议》向您提供服务承诺和服务费积分。本《服务水平协议》并不授权您获得任何其他AWS区域提供的任何服务承诺或服务费积分。
定义
· “月度正常运行时间百分比”,就特定的多可用区实例而言,系指用100%减去该多可用区实例“不可用”的月度计费周期中的1分钟周期所占的百分比后计算得出的月度正常运行时间。如果您仅在该月部分时间内运行该多可用区实例,那么我们假定您的多可用区实例在该月的未运行时间内为100%可用。月度正常运行时间百分比的测量不包括直接或间接由任何《光环新网Amazon RDS服务水平协议》例外情形(定义见下文)导致的停机时间。 · “多可用区实例”系指将多可用区参数设置为true的MySQL、MariaDB、Oracle或PostgreSQL数据库实例的Amazon RDS。 · “不可用”系指在运行的多可用区实例的所有连接请求在1分钟内失败。 · “服务费积分”系指按照下文所述方式计算得出的人民币积分,我们可将服务费积分充入适格账户。

1. 业务功能
Amazon Simple Storage Service (Amazon S3) 是一种对象存储,它具有简单的 Web 服务接口,可用于从 Web 上的任何位置存储和检索任意数量的数据。它能够提供 99.999999999% 的持久性,并且可以在全球大规模传递数万亿对象。 客户将 S3 用于批量存储库、“数据湖”(用于分析)、备份和还原、灾难恢复和无服务器计算。许多原生云应用程序甚至使用 S3 作为主要存储。 借助 Amazon 的云数据迁移选项,客户可轻松地将大量数据移入或移出 S3。数据在存储到 Amazon S3 中之后,会自动采用成本更低、存储期限更长的云存储类(如 S3 Standard-Infrequent Access、S3 One Zone - Infrequent Access 和 Amazon Glacier)进行存档。

服务费积分仅可用来冲抵您未来应支付的Amazon S3服务费。您获得的服务费积分并不赋予您从我们获取任何退款或其他款项的权利。只有相应月度计费周期的积分金额高于一元人民币(¥1)时,服务费积分才会适用并发放。服务费积分不得转让,也不得适用于任何其他账户。除非《协议》另有规定,否则Amazon S3出现任何不可用或无法运行的情况,或者我们由于其他原因未提供Amazon S3之时,您享有的唯一且排他的救济即为根据本《服务水平协议》的规定获取服务费积分(若适用)。 
服务费积分申请与支付程序 若要获取服务费积分,您必须以在 AWS支持中心开立案例的方式提出申请。服务费积分申请,若要符合条件,必须在所涉事故发生后的第二个计费周期届满前送达我们,并且必须包含以下内容:
· 主题行中有"《服务水平协议》服务费积分申请"的字样; · 您主张的每个非零错误率事故的发生日期和时间;及 · 您记录出现的错误并证实您所主张的运行中断事故的请求日志(该等日志中的任何保密或敏感信息均应予以删除或者以星号取代)。 
如果该申请所涉的月度正常运行时间百分比获得我们确认,并且未达到服务承诺,则在您申请确认之月后下一个计费周期内,我们将向您发放服务费积分。您未提交服务费积分申请以及上文要求的其他信息的,将无资格获取服务费积分。 
《光环新网Amazon S3服务水平协议》例外情形
因以下原因而导致Amazon S3出现任何不可用、中断或终止任何其他运行问题的,不适用服务承诺:(i)《光环新网关于AWS(北京区域)的客户协议》(“《协议》”)第6.1条所述的中止;(ii)我们无法合理控制的因素,包括任何不可抗力事件或者Amazon S3分界点以外的互联网接入问题或相关问题;(iii)您或任何第三方的任何作为或不作为;(iv)您的设备、软件或其他技术和/或第三方的设备、软件或其他技术(但我们直接控制范围内的第三方设备除外);(v)根据《协议》提供的任何维护;或(vi)您根据《协议》使用Amazon S3的权利被我们中止或终止(统称"《光环新网Amazon S3服务水平协议》例外情形")。如果对可用性产生影响的因素不同于我们在计算错误率时所用的因素,我们有权在考虑该等因素之后,自行决定发放服务费积分。
2.2 定义
· "错误率"系指:(i)Amazon S3在五分钟内返回的"内部错误"或"服务不可用"状态的内部服务器错误总数,除以(ii)该五分钟内请求的总数所得之值。我们将在月度计费周期内每五分钟计算一次每个Amazon S3账户的百分比错误率。内部服务器错误数量的计算不包括因任何《光环新网Amazon S3服务水平协议》例外情形(定义见下文)而直接或间接引起的错误。 · "月度正常运行时间百分比"系指100%减去月度计费周期内每个五分钟的错误率的均值之后的余值。 
其中不可用时间不包括光环新网AWS云服务协议 服务补偿 条款中列出的其他情况,以及由于第三方或不可抗力导致的不可用时间。
2.3 数据存储持久性
Amazon S3 可在一年内提供 99.999999999% 的数据对象耐久性。这种耐久性级别相当于每年平均有 0.000000001% 的数据对象丢失。例如,如果您使用 Amazon S3 存储 10000 个数据对象,则平均每 10000000 年会发生一次单个数据对象丢失。
2.4 数据迁移性
AWS Snowball 是一项服务,利用 Snowball,可以在您的本地数据中心与Amazon S3之间传输数百 TB 或 PB 的数据。利用 Snowball,可以在您的本地数据中心与Amazon S3 之间传输数百 TB 或 PB 的数据。 将 AWS Storage Gateway 用于混合云存储,您可以将位于本地的数据或存储系统轻松链接到 Amazon S3。这意味着您现有的系统、软件、进程和数据可以精简到云中,以最小的中断率进行备份、迁移、分层或突增。
2.5 网络接入性能
光环新网AWS云服务通过用户购买的不同云服务器实例类型来限定各类型实例的网卡带宽,范围为 0~10Gbps 或0~ 25Gbps,通过网卡带宽来限定用户共享公网带宽,按用户实际使用流量收费。光环新网AWS云服务采用中国联通、中国电信等作为网络接入提供商。
3. 故障恢复能力
Amazon S3 结合使用 Content-MD5 校验和及循环冗余检验 (CRC) 来检测数据损坏。Amazon S3 在空闲时对数据执行这些检验和检测,并使用冗余数据修复任何损坏。此外,在存储或提取数据时,该服务还对所有网络流量计算校验,以检测数据包损坏。
4. 业务资源调配能力
写入、读取和删除对象,每个对象可包含从 1 字节到 5 TB 的数据。您可以存储的数据元没有数量限制。 随着您的数据不断发展,Amazon S3 可以自动分配和更改成本和性能特性。它甚至还可以自动执行常见的数据生命周期管理任务,包括容量预置、自动迁移到成本较低的层级,以及监管合规性策略和最终的计划删除任务。
5. 服务和数据可销毁性
在您要求删除数据或设备在弃置前,光环新网将采用置零覆盖的方法完全删除您所有数据,并无法复原,硬盘到期报废时将进行消磁、粉碎。
6. 服务私密性
Amazon S3 支持多种机制,使您能够灵活控制访问您数据的人员以及他们的访问方式、时间以及位置。Amazon S3 提供了四种不同的访问控制机制:Identity and Access Management (IAM) 策略、访问控制列表 (ACL)、存储桶策略以及查询字符串身份验证。 IAM 让拥有多名员工的组织能够在一个 AWS 账户下创建和管理多个用户。通过 IAM 策略,您可以授予 IAM 用户对 Amazon S3 存储桶或数据对象的细化控制权。 您可以使用 ACL 选择性地添加(授予)对个别数据对象的特定权限。 Amazon S3 存储桶策略可用来添加或拒绝对单一存储桶内的部分或所有数据对象的权限。 使用查询字符串身份验证,您能够通过仅在预定时间段内有效的 URL 共享 Amazon S3 数据对象。 您可以使用 HTTPS 协议通过 SSL 终端节点,将数据安全地上传/下载到 Amazon S3。 Amazon S3 还能够记录对 Amazon S3 资源所做的请求。您还可以配置 Amazon S3 存储桶,针对提出的相关请求创建访问日志记录。这些服务器访问日志可捕获对存储桶或其中的数据对象发出的所有请求,还可用于审核目的。 有关 Amazon S3 中安全功能的更多信息,请参阅 访问控制主题在 Amazon S3 开发人员指南。
7. 服务知情权
光环新网Amazon S3服务部署在中国北京区,共有2个可用区互为热备。 上述数据中心均遵守的当地的法律和中华人民共和国相关法律。 除非为维持或提供“服务产品”所需,或为遵守法律、“中国合规程序”或政府或监管机构要求所需,我们不会将“您的内容”披露给任何政府或第三方或将“您的内容”移至“AWS中国网络”之外。
8. 服务可审查性
您的内容将仅存储在AWS中国网络(AWS中国网络指实物位于“中国”境内,且处于我们控制之下,并用于提供AWS中国(北京)区域云服务的数据中心设施、服务器、网络设备以及主机软件系统等)上。您同意将您的内容存储于和传输至AWS中国网络。除非为遵守法律、“中国合规程序”或政府或监管机构要求所需,我们不会:(a)访问或使用“您的内容”;(b)将“您的内容”披露给任何政府或第三方;或(c)将“您的内容”移至“AWS中国网络”之外。除非违反法律、“中国合规程序”或政府或监管机构的要求,否则,在遵守上述要求时,我们将向您发出相应通知。
在依据现有法律法规体系下,出于配合政府监管部门的监管或安全取证调查等原因的需要,在符合流程和手续完备的情况下,可以提供云服务器相关信息,包括关键组件的运行日志、运维人员的操作记录等。
9. 服务计量准确性
光环新网Amazon S3服务的费用在产品价格页面和文档中均有明确展示,不同服务,计量单位不一样,用户可自行选择具体服务类型并按列明的价格项进行使用。具体价格以AWS中国(北京)区域云官网公布的价格为准。
按电子版付款通知付费,企业网银在线支付。 用户可自行选择原始日志保留时间,在启用Amazon S3服务后,原始日志可永久保存。
